Bizz Assist Client Service Agreement
Version 2026-09 · Triton Networking Technology (Pty) Ltd, trading as Bizz Assist
1. Parties and the service
1.1 This agreement is between Triton Networking Technology (Pty) Ltd (registration BW00000187934), trading as Bizz Assist ("Triton", "we"), and the business named in the online Sign-up Form ("the Client", "you").
1.2 It is made up of this agreement and the Client's accepted Sign-up Form (the plan, channels and fees chosen online). If they conflict, the Sign-up Form wins for fees, plan and start date; this agreement wins for everything else.
1.3 The Service means the AI assistant that Triton sets up and runs for the Client, as described in the Sign-up Form. It may include a chat assistant on the Client's WordPress website and/or on a WhatsApp number registered to the Client; lead and enquiry emails, a staff inbox and hand-over to staff; and set-up, hosting where Triton hosts it, AI usage up to the plan's monthly reply limit, and the plan's monthly content updates.
1.4 Not included unless listed in the Sign-up Form: fees charged by Meta for WhatsApp messages, the Client's website hosting, phone numbers and airtime, integrations with other systems, and website chat on non-WordPress websites (a future feature).
1.5 Definitions. A reply is one answer the assistant sends to a customer. The Assistant Software is Triton's Bizz Assist plugin, prompts, presets and related know-how. Client Content is the information the Client gives us to train the assistant. Client Data is chats, leads, contact details and files from the Client's customers.
2. Fees and payment
2.1 Set-up fee: payable in full before Triton starts the build. It is not refundable once work has started.
2.2 Service fee: payable monthly in advance, by the 1st of each month, by debit order or EFT. If annual payment was chosen, it is payable yearly in advance. The first month is payable when the Service goes live, pro rata.
2.3 VAT: all fees include VAT at the current rate (14%). If the VAT rate changes, fees change with it.
2.4 Reply limit: each plan includes a monthly number of AI replies. Once the limit is reached, Triton may (a) let the assistant show "a team member will reply" until the next month, or (b) with the Client's approval, add top-ups at P450 per 1,000 replies.
2.5 Price changes: Triton may change the service fee once a year with 30 days' written notice. Triton may also change it at any time with 30 days' notice if AI provider costs or the USD/BWP exchange rate rise by more than 10% from the sign-up date. The Client may cancel without penalty within that notice period.
2.6 Launch discounts (for example 50% off set-up) apply only if the Client stays for the minimum period in clause 4. If the Client cancels early, the discount becomes payable.
2.7 Late payment: overdue amounts bear interest at the prime lending rate plus 2% a year, calculated from the due date. The Client pays reasonable collection costs.
3. Non-payment and suspension
3.1 If any amount is unpaid 7 days after its due date, Triton may suspend the Service after giving 48 hours' notice by email or WhatsApp. Suspension means the assistant stops answering on the website and WhatsApp. Triton may show customers a neutral message, such as "Please contact us directly", and may pause AI usage, hosting and support.
3.2 During suspension the Client keeps ownership of its WhatsApp number, Meta account and Client Data; Triton keeps the Client's configuration for up to 90 days; and the service fee stays payable for the suspended months.
3.3 Reactivation: Triton reactivates within 1 working day after all overdue amounts, interest and a reconnection fee of P250 are paid.
3.4 If the account stays unpaid for 60 days, Triton may end this agreement under clause 4.4 and claim all fees still due for the minimum period.
3.5 Suspending the Service for non-payment is not a breach by Triton, and Triton is not liable for any loss the Client suffers because of it.
4. Term and termination
4.1 The agreement starts when the Client accepts it online and runs for a minimum period from the go-live date: 6 months for Web Lite, WhatsApp Lite and Starter, and 12 months for Business and Pro.
4.2 After the minimum period it continues month to month. Either party may end it with 30 days' written notice.
4.3 Early cancellation: if the Client cancels during the minimum period, the service fees for the rest of the minimum period and any launch discount under 2.6 become payable at once.
4.4 Either party may end the agreement immediately if the other (a) breaches it and doesn't fix the breach within 14 days of written notice, or (b) becomes insolvent or is placed under business rescue or liquidation. Non-payment for 60 days counts as a breach that can't be fixed.
4.5 On termination: Triton disconnects the assistant and removes the plugin (or the hosted install); within 30 days, and on request, Triton exports the Client's leads and chats as a CSV or PDF file; the Client removes Triton's partner access from its Meta account; Triton deletes Client Data within 90 days, except where the law requires it to be kept; and all unpaid fees become due.
5. Ownership
5.1 The Client owns: its WhatsApp number, its Meta Business account, its website, its Client Content and its Client Data.
5.2 Triton owns: the Assistant Software, including the plugin code, prompts, discovery guides, presets, templates and all improvements to them, even when they were made while serving the Client. The Client gets a non-exclusive, non-transferable right to use the Assistant Software only while this agreement is active and paid up. The Client may not copy, modify, resell or give the Assistant Software to anyone else, including other developers or AI providers.
5.3 The assistant's name and persona belong to the Client if the Client supplied them; otherwise the Client may keep using a name Triton suggested.
5.4 Triton may say that the Client is a Bizz Assist customer, and may show a small "Powered by Bizz Assist" link in the chat unless the Client pays to remove it.
6. WhatsApp and Meta
6.1 Accounts: the WhatsApp number is registered in the Client's own Meta Business account. The Client gives Triton partner access to its WhatsApp account for as long as this agreement lasts, and must not remove that access or change the number's settings without telling Triton, because doing so may stop the Service. Fees stay payable.
6.2 Meta's fees: Meta charges its own per-message fees, in US dollars, directly to the payment method on the Client's Meta account. These fees are not part of Triton's fees and are payable by the Client to Meta. Triton's estimates of Meta fees are only guidance; Meta sets and may change its rates.
6.3 Meta's rules: the Client must follow Meta's WhatsApp Business terms and policies, including getting customers' permission before sending them marketing messages. If Meta restricts, rates down or bans the number or account because of the Client's content or conduct, that is the Client's responsibility and fees stay payable.
6.4 Triton isn't responsible for outages, rule changes, price changes or verification decisions by Meta, but will help the Client resolve them at its normal rates.
6.5 Verification: the Client supplies true business details and documents for Meta business verification.
7. The AI and the Client's responsibilities
7.1 The assistant uses artificial intelligence. Triton sets it up to answer only from the Client Content and to say when it doesn't know. AI can still make mistakes. The assistant's replies are general information, not binding offers, quotes or advice. The Client's own confirmed quotes and invoices are what count.
7.2 The Client is responsible for the accuracy of its Client Content (including prices, hours and stock), telling Triton about changes, checking leads and following up with its customers, and replying to hand-overs.
7.3 Acceptable use: the Client won't use the Service for anything unlawful, misleading, discriminatory or offensive, for spam, or to collect card numbers, passwords or ID numbers through the chat. The assistant always says it's an AI when asked.
7.4 The Client must keep its website, WordPress logins and hosting secure and up to date where the assistant runs on the Client's own site.
8. Data protection
8.1 For Client Data, the Client is the data controller and Triton is the data processor under the Botswana Data Protection Act.
8.2 Triton processes Client Data only to provide the Service and on the Client's documented instructions. It keeps the data confidential, limits access to staff who need it, uses reasonable security measures, and tells the Client without undue delay about any security breach affecting Client Data.
8.3 Sub-processors: the Client agrees that Triton uses Anthropic for the AI (which receives chat text and recent photos to generate replies), Meta for WhatsApp, and Triton's hosting provider. Some of these process data outside Botswana. Triton will tell the Client before adding a new sub-processor.
8.4 The Client is responsible for telling its customers, in its privacy policy, that an AI assistant and WhatsApp are used, and for having a lawful basis to process their data.
8.5 Retention: photos and files sent by customers are deleted after 90 days. Chats and leads are kept until the Client asks for them to be deleted or the agreement ends (clause 4.5).
9. Support and changes
9.1 Support: by email or WhatsApp, Monday to Friday 8:00–17:00, excluding public holidays. Triton aims to respond within 4 working hours when the assistant is down, and within 2 working days for other requests.
9.2 Availability: Triton uses reasonable efforts to keep the Service available but doesn't guarantee uninterrupted service. The Service depends on third parties (Anthropic, Meta, hosting and the Client's website). Planned maintenance happens outside business hours where possible.
9.3 Content updates: each plan includes a number of updates a month, such as new services, prices, FAQs or promotions. Unused updates don't roll over. Extra work, like new integrations or redesigns, is quoted separately.
9.4 Triton may improve or change the Assistant Software and the AI models it uses, as long as the Service stays materially the same or better.
10. Liability and general terms
10.1 Limit of liability: Triton's total liability under this agreement is limited to the service fees the Client paid in the 3 months before the claim. Triton is not liable for indirect or consequential loss, lost profits or lost business; mistakes in AI replies; Meta or other third-party actions; or loss caused by the Client's own content or conduct. This limit doesn't apply where the law doesn't allow it to.
10.2 Indemnity: the Client indemnifies Triton against claims arising from the Client Content, the Client's breach of Meta's rules or data protection law, or the Client's use of the Service.
10.3 Confidentiality: each party keeps the other's confidential information confidential during and after the agreement.
10.4 Non-solicitation: the Client won't hire Triton staff who worked on the Service within 12 months after it ends without Triton's written consent.
10.5 Notices go to the email addresses in the Sign-up Form. The Client's physical address there is its chosen address for legal documents (domicilium).
10.6 Whole agreement: this agreement and the Sign-up Form are the whole agreement. Changes must be in writing and agreed by both parties. If a clause is invalid, the rest still applies.
10.7 Governing law: the laws of Botswana. The parties agree to the jurisdiction of the courts of Botswana.
10.8 Electronic acceptance: the Client accepts this agreement by ticking the acceptance box and typing the authorised person's full name in the online Sign-up Form. Triton records the name, date, time and IP address of the acceptance. This has the same effect as a handwritten signature.
